OTHER EVENTS
Alan R. Fairman, a director of First Commonwealth Financial Corporation, passed
away on March 18, 2006. Mr. Fairman was
a member of the Executive, Governance, and Executive Compensation Committees of
the Board. Mr. Fairman was a director
for many years, and his commitment to this company was unwavering.
