This authorization expires on August 31, 2009. As of March 20, 2009, approximately $11.6 million of the Company's common stock remained available for purchase under this authorization. To facilitate the Company's purchase of the common stock remaining available for purchase under this authorization, the Company has established a plan ("10b5-1 Plan") under Rule 10b5-1 of the SEC. The 10b5- 1 Plan provides for the purchase of up to $11.5 million (inclusive of commissions) of the Company's common stock, pursuant to the existing repurchase authorization, during the period beginning March 20, 2009 and ending May 13, 2009. A broker selected by the Company will have the authority under the terms and limitations specified in the 10b5-1 Plan to repurchase shares on the Company's behalf in accordance with the terms of the plan. SEC Rule 10b5-1 allows an issuer, at a time when not in possession of material inside information, to establish a prearranged written plan to repurchase a specified number of its shares when it otherwise might be prevented from doing so under insider trading laws or because of self- imposed trading blackout periods.
