Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 14, 2011, the Board of Directors of Angeion (the Company) appointed Gregg O. Lehman, Ph.D., as Chief Executive Officer of the Company effective immediately. As disclosed in an earlier Form 8-K, Dr. Lehman was appointed as Interim Chief Executive Officer of the Company effective May 25, 2011. In connection with his appointment as Chief Executive Officer, the Board did not make any change to Dr. Lehmans compensation, which it had established at $320,000 per year when it named him Interim Chief Executive Officer. The Angeion Board of Directors and Compensation Committee are in the process of reviewing the most appropriate incentive-based and equity-based compensation to align Dr. Lehmans interests with those of Angeion shareholders, and expects to make a decision at a future date.
In addition, on July 14, 2011, the Board of Directors appointed Dr. Lehman as a director of the Company for a term ending at the 2012 Annual Meeting of Shareholders.
