Item 1.01 Entry into a Material Definitive Agreement.

Item 2.01 Completion of Acquisition or Disposition of Assets.

On November 30, 2011, Astronics Corporation (the “Company”) acquired all of the stock of privately-held Ballard Technology, Inc., an Everett, WA company that designs and produces avionics interface solutions for defense and commercial aerospace applications. The purchase price is $24 million in cash, plus an additional purchase consideration of $5.5 million subject to meeting certain revenue growth targets over the next five years. The Acquisition was consummated on November 30, 2011.

A copy of the Stock Purchase Agreement is included as Exhibit 10.1 to this Current Report and is incorporated herein by reference.

On November 30, 2011, the Company issued a press release announcing the transaction. A copy of the press release is included as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
