Item 5.02      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

          On February 23, 2007, the Compensation Committee (the “Committee”) of the BlueLinx Holdings Inc. (the “Company”) Board of Directors established the annual base salary level for George R. Judd, President & Chief Operating Officer, at $450,000. Mr. Judd’s new base salary level is effective as of March 1, 2007.
