Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 15, 2018, Jamere Jackson, Chief Financial Officer of Nielsen Holdings plc (“Nielsen”), tendered his resignation effective September 10, 2018. Mr. Jackson will be assuming the role of Chief Financial Officer at another public company. Nielsen expects to name a successor to the Chief Financial Officer position shortly.
