ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
Effective January 1, 2005, Redwood Trust, Inc. (the Company) established revised compensation arrangements for non-management directors, which arrangements will be in effect until the Companys Board of Directors further revises the amount or type of compensation payable to non-management directors. The details of the compensation arrangements are summarized on Exhibit 10.1 to this report and incorporated by reference herein. The equity components of the compensation for non-management directors are issued pursuant to the Redwood Trust, Inc. 2002 Incentive Stock Plan, as amended through May 6, 2004, which was previously adopted and filed as Exhibit 10.15.2 to the Companys Quarterly Report on Form 10-Q for the quarter ended June 30, 2004, filed with the Securities and Exchange Commission on August 5, 2004.
