Item 2.02 Results of Operations and Financial Condition.

On December 2, 2008, RPM International Inc. (the "Company") made a presentation at the 19th Annual Citi Chemicals Conference during which the Company provided detail concerning its financial condition and liquidity not included in previously issued reports concerning its recently completed second fiscal quarter ended November 30, 2008. The Company also updated its guidance for its fiscal year ending May 31, 2009. A copy of the Company's December 3, 2008 press release discussing these matters is furnished with this Current Report on Form 8-K as Exhibit 99.1.
