Results of Operations and Financial Condition.

On August 7, 2012, CPI Aerostructures, Inc. (the “Registrant”) issued a press release announcing its financial results for the quarter ended June 30, 2012.  The press release is included as Exhibit 99.1 hereto.

On August 7, 2012, the Registrant held a conference call to discuss the financial results for the quarter ended June 30, 2012.  The transcript of the conference call is included as Exhibit 99.2 hereto.
