Item 8.01 Other Events.
     On March 8, 2011, MoneyGram International, Inc. (the “Company”) issued a press release announcing that it has entered into a Recapitalization Agreement, dated March 7, 2011, with affiliates and co-investors of Thomas H. Lee Partners, L.P. and Goldman, Sachs & Co. and affiliates. The Company will host a conference call with investors on March 8, 2011 at 11:00 a.m. EST, 10:00 a.m. CST to discuss the recapitalization. A copy of the press release is attached as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
