Amendment of the Company’s Amended and Restated By-Laws
The Company amended portions of Article VI, Section 1, of its Amended and Restated By-Laws on October 10, 2008 to provide that the Company’s president need not be a member of the Company’s board of directors. The Company’s Amended and Restated By-Laws are filed with this report as Exhibit 3.1.
