Item 1.01. Entry into a Material Definitive Agreement
In connection with the determination and awarding of annual base salaries for all Saul Centers, Inc. employees, on April 28, 2006, the Compensation Committee of the Board of Directors approved annual base salaries commencing on May 1, 2006 for the following named executive officers.

To determine the annual base salaries, the members of the Compensation Committee considered the performance of the Company over the past year, each officers individual contribution to the success of the Company, employment longevity and executive compensation reported by other publicly traded real estate investment trusts. The Compensation Committee also considered that the Chief Executive Officer and President also devote a portion of their time to managing other related entities.
