("TXRH") outstanding at November 4, 2005 as reported in TXRH's Quarterly Report on Form 10-Q for the quarter ended September 27, 2005, plus the 2,486,996 shares of Class A common stock issued in connection with the acquisition of 11 franchise restaurants on December 28, 2005, as reported on the Current Report on Form 8-K filed December 28, 2005.  (On August 18, 2005, the Board of Directors of Texas Roadhouse, Inc. declared a two-for-one stock split of its Class A and Class B common stock.  The stock split was effected in the form of a 100% stock dividend.  The additional shares were issued on September 23, 2005 by Texas Roadhouse's transfer agent to stockholders of record as of the close of business on September 6, 2005.  This Amendment updates the share numbers from the initial filing to reflect the stock split.)  The Reporting Person individually owns 11,870,644 shares of Class A Common Stock and has sole voting power for each of the entities listed on Exhibit 1 and is therefore deemed to beneficially own the number of shares of Class A Common Stock held by each entity set forth thereon, and has sole dispositive power for shares held by all those entities except for shares held by LD Holdings LLC.  Each share of Class B Common Stock is entitled to ten votes per share and is convertible into one share of Class A Common Stock at any time at the option of the Reporting Person.  Combining his votes from the Class A Common Stock and Class B Common Stock, the Reporting Person’s voting percentage of TXRH is 55.5%.
