OptimumBank Holdings, Inc. (the Company) has determined it will be unable to file its Quarterly Report on Form 10-Q for the
quarter ending September 30, 2009 by November 16, 2009, without unreasonable effort or expense. As reported in a Form 8-K filing dated November 16, 2009, the Company is in the process of amending and restating financial information in its Form 10-Q
for the quarter ended June 30, 2009, that will impact disclosures in this report. The Company expects to file its Quarterly Report on Form
10-Q within five or fewer calendar days, on or prior to November 23, 2009.

Since September 30, 2008, there have been a number of developments which have had a significant impact on the Companys financial condition and results of operations for the fiscal quarter ending September 30, 2009. These developments include, without limitation, the following:
| The Company has experienced deterioration in the asset quality of its loan portfolio, which has resulted in an increase in the level of impaired loans and the corresponding allowance for loan losses and charge-offs compared to the fiscal quarter ended September 30, 2008. The Company anticipates that its impaired loans, net of allowance for loan losses, will total approximately $41.8 million at September 30, 2009, as compared to $5.1 million at September 30, 2008. The Company also anticipates that its non-accrual loans, all of which are impaired loans, will total approximately $20.3 million at September 30, 2009, as compared to $4.6 million at September 30, 2008. The Companys allowance for loan losses totaled approximately $2.9 million at September 30, 2009, as compared to $732,000 at September 30, 2008. |
| The Company expects to report a net loss for the quarter ended September 30, 2009 of $313,000 compared to net income of $201,000 for the quarter ended September 30, 2008, primarily as the result of a higher provision for loan losses. The Company anticipates that its net loss for the nine months ended September 30, 2009 will total $2.4 million compared to net income of $1.0 million for the nine months ended September 30, 2008. |
