On November 20, 2008, Chordiant Software, Inc., a Delaware corporation (the "Company") issued a press release announcing financial results for the fourth quarter and fiscal year ended September 30, 2008 (the "Press Release").  A copy of the Press Release is furnished as Exhibit 99.1 to this Current Report and is incorporated in this Item 2.02 by reference.
