5.03 Amendments to Articles of Incorporation or By-laws; Change in Fiscal
Year
On
December 6, 2007,
our Board of Directors, upon recommendation of the Governance & Nominating
Committee, approved an amendment to our By-laws to modify the provisions
thereof
regarding the calling of special meetings. This amendment permits
stockholders who own at least 25% of our outstanding common stock to call a
special meeting of stockholders. Previously, a special meeting of
stockholders could be called only by a majority of our Board of Directors,
the
Chairman of the Board of Directors, the Chief Executive Officer or the
President.
The
foregoing is
merely a summary of the material amendment to the By-laws and is qualified
in
its entirety by the amended By-laws, a copy of which is included as
Exhibit 3.B to this Form 8-K and is incorporated into this Item 5.03 by
reference.
