Item 8.01.  Other Events.

                Cascade Corporation has reached a settlement with one of two insurers in litigation relating to recovery of expenses incurred in the cleanup of groundwater contamination at its Fairview, Oregon, plant. The insurer has paid Cascade $1.3 million and will be dismissed from a pending appeal by Cascade and the insurers of a lower court judgment in Cascade’s favor. The payment will add approximately $0.06 per share to after-tax income for the quarter ending October 31, 2004. The appeal is continuing as to the remaining insurer.
