Item 8.01 Other Events.

 

Jimmie E. Stephens announced his intention to resign as Senior Vice President, Worldwide Sales and Field Operations, of Adobe Systems Incorporated, effective March 31, 2005.  To ensure an orderly transition, Mr. Stephens will stay on at the Company through the end of Adobe’s fiscal year.
