On December 28, 2005, Career Education Corporation (the “Company”) announced that Patrick W. Gross was appointed to the Company’s board of directors. Mr. Gross’s appointment was effective on December 23, 2005, and he will serve in the class of directors whose terms expire at the Company’s 2006 annual meeting of stockholders. The Company’s board of directors has not yet determined on which of its committees Mr. Gross will serve. Mr. Gross is the founder and chairman of The Lovell Group, a business and technology advisory and investment firm based in Washington, D.C.
Attached hereto as Exhibit 99.1 is a copy of the press release dated December 28, 2005, which is incorporated herein by reference, announcing the appointment of Mr. Gross to the Company’s board of directors.
