(1) | The Reporting Person was granted 3,000,000 Restricted Stock Units ("RSUs") on July 23, 2018 as an inducement award outside of any equity incentive plan under applicable rules of the New York Stock Exchange in connection with the Reporting Person's appointment as Chief Executive Officer of the Issuer. The RSUs vest in equal installments of 33 1/3% on each of July 1, 2019, July 1, 2020 and July 1, 2021. |
Remarks: The original Form 4 filed on July 24, 2018 is being amended pursuant to this Form 4/A as a result of an amendment of the Reporting Person's employment agreement with the Issuer to correct the number of, and other information disclosed in the original Form 4 regarding, the RSUs granted to the Reporting Person. |
