ITEM 8.01. OTHER EVENTS

On August 23, 2005, Kestrel Energy, Inc. issued a press release announcing that its shareholders had approved a 100-for-1 reverse stock split and that the reverse stock split will become effective at the beginning of trading on August 24, 2005. Attached as Exhibit 99.1 is that press release which is incorporated by reference herein.
