Explanatory Note

This Registration Statement on Form 8-A is being filed by Puda Coal, Inc., a Delaware corporation (the “Company”) in connection with the registration of its common stock, $0.001 par value (the “Common Stock”), under Section 12(b) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”) and the listing of Common Stock on the NYSE Amex LLC (formerly known as the American Stock Exchange LLC).

Item 1.         Description of the Company’s Securities to be Registered

The description of the Common Stock of the Company is set forth under the caption “Description of Capital Stock” in the Company’s registration statement on Form S-1 filed with the Securities and Exchange Commission (the “Commission”) on June 10, 2009, and is hereby incorporated by reference herein.
