Changes in Registrant's Certifying Accountant By letter dated January 16, 2004, Grant Thornton LLP of Atlanta, Georgia ("Grant Thornton"), informed the Registrant that Grant Thornton had resigned as the accountant for the Registrant. During the years ended December 31, 2002 and 2001 and for the interim period through the date the relationship ended, there were no disagreements with Grant Thornton on any matter of accounting principle or practice, financial statement disclosure, or auditing scope that would have caused them to make reference to the subject matter of the disagreement in connection with their report on the financial statements for such years. The audit reports of Grant Thornton on the Registrant's consolidated financial statements as of and for the year ended December 31, 2002 and 2001 did not contain any adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles, except that Grant Thornton's audit report included in the Registrant's Annual Report on Form 10-K for the years ended December 31, 2002 and 2001 included an explanatory paragraph related to substantial doubt about the Registrant's ability to continue as a going concern due to recurring losses from operations.
