| Item 7.01. | Regulation FD Disclosure. |
At an investor conference being held on November 7 and 8, 2005, Bottomline Technologies (de), Inc. (the “Company”) will reconfirm its prior guidance for the current quarter ended December 31, 2005 with respect to revenue, GAAP earnings per share and non-GAAP earnings per share.
The Company will also announce that since the end of the September quarter, the Company has:
| • | Signed a multi-year contract with McKesson to utilize the Company’s Legal eXchange. |
| • | Finalized a partnership with a large global ERP software company. Through this arrangement the Company will provide web-based payment infrastructure in support of the partner’s new hosted payroll service for its small and mid-size business customers. |
