Item 8.01 Other Events
On February 16, 2006, Placer Sierra Bancshares and Southwest Community Bancorp issued a joint press release announcing the execution of an Agreement and Plan of Merger and Reorganization relating to the acquisition of Southwest by Placer Sierra. In addition, in the same press release, Placer Sierra announced the declaration of a cash dividend. A copy of the joint press release is attached hereto as Exhibit 99.1. The information required by Item 1.01 will be filed in a separate Current Report on Form 8-K.
