Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Mr. Thomas Ringer, a current member of Maxwell Technologies, Inc.’s (the “Company”) Board of Directors, has given the Company notice of his intention to retire from the Company’s Board of Directors at the expiration of his current term and will not stand for reelection at the Company’s 2008 Annual Shareholders meeting scheduled to be held on May 8, 2008.
