Item 8.01 Other Events

As previously reported in various public filings, the Company has been a party to a litigation filed in the Circuit Court for Baltimore City, Maryland, Costa Brava Partnership III, L.P., et. al. v. Telos Corporation, et. al.

On April 15, 2008, the Circuit Court for Baltimore City, Maryland, granted the Company’s motion to dismiss all claims with prejudice in the lawsuit filed by Costa Brava Partnership III, L.P. and Wynnefield Partners Small Cap Value, L.P. A copy of the Court’s Memorandum and Opinion, and Order is filed as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
