Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Telos Corporation (the “Company”) announced that on October 5, 2009 it elected the following new independent director to its board of directors: Major General (ret) John W. Maluda. General Maluda is the former Director of Cyberspace Transformation and Strategy, in the Office of the Secretary of the U.S. Air Force, and Chief Information Officer. A copy of the press release announcing the election of General Maluda to the board of directors is filed as Exhibit 99.1 hereto and incorporated by reference herein.
