Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On September 29, 2009, SAIC, Inc. filed a Current Report on Form 8-K disclosing that Mr. Thomas F. Frist, III accepted an invitation to be a director of SAIC, Inc., effective on September 23, 2009, to fill a vacancy on the Board of Directors. On October 23, 2009, the Board of Directors appointed Mr. Frist to the Audit Committee and the Finance Committee of the Board of Directors. In addition, the Board of Directors determined that Mr. Frist qualifies as an Audit Committee “financial expert” as defined by the rules under the Securities Exchange Act of 1934.
