Item 8.01 Other Events.

On February 11, 2011, Kraton Polymers LLC and Kraton Polymers Capital Corporation issued a press release announcing the execution of a supplemental indenture on February 10, 2011 and the early tender results in connection with their tender offer to purchase for cash any and all of their outstanding 8.125% Senior Subordinated Notes due 2014 (the “Notes”), and a concurrent solicitation of consents from the holders of the Notes to amend the indenture governing the Notes. As of the previously announced consent payment deadline of 5:00 p.m., New York City time, on February 10, 2011, $151,025,000 in aggregate principal amount, or approximately 92.65% of the Notes outstanding had been validly tendered and not withdrawn.

The press release announcing the execution of a supplemental indenture and the early tender results is filed herewith as exhibit 99.1, and is incorporated by reference herein.
