TransAtlantic Petroleum Ltd. (the “Company”) is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2010 (the “Form 10-K”) within the prescribed time period without unreasonable effort and expense. Unanticipated delays arose in the connection with the preparation of the Company’s financial statements, disclosures, and management’s assessment of internal control over financial reporting. The Company intends to file its Form 10-K within the 15-day extension period afforded by Rule 12b-25 under the Securities Exchange Act of 1934, as amended.

Part IV, Item (3)

The Company anticipates that its Form 10-K for the year ended December 31, 2010 will contain results of operations that reflect a significant change from the corresponding period in 2009, due to the Company’s acquisition of Amity Oil International Pty Limited and Petrogas Petrol Gaz ve Petrokimya Ürünleri Inşaat Sanayi ve Ticaret A.Ş. and its resulting change in operations. The Company cannot reasonably estimate results of operations to be reported in the Form 10-K until the Company finishes its consolidated financial statements and such statements are audited by the Company’s independent auditor.
