Item 5.07 Submission of Matters to a Vote of Security Holders.
On May 26, 2011, Ameris Bancorp (the Company) held its Annual Meeting of Shareholders (the Annual Meeting) in Moultrie, Georgia. At the Annual Meeting, there were present in person or by proxy 21,124,053.098063 shares of the Companys common stock, representing 88.88% of the total outstanding eligible votes. At the Annual Meeting, the Companys shareholders (1) elected four members to the Board of Directors of the Company, (2) ratified the appointment of Porter Keadle Moore, LLP as the Companys independent auditor for 2011, (3) approved a non-binding advisory proposal on executive compensation and (4) approved the amendment of the Companys Articles of Incorporation to increase the authorized shares of common stock authorized for issuance from 30 million to 100 million. Each of the foregoing proposals was set forth and described in the Notice of Annual Meeting and Proxy Statement of the Company dated April 18, 2011. The voting results for each proposal are as follows:

Item 8.01 Other Events.
As described in Item 5.07 above, on May 26, 2011, the shareholders of the Company approved an amendment (the Amendment) to the Companys Articles of Incorporation, as amended, to increase the number of shares of common stock authorized for issuance from 30 million to 100 million. The Amendment was filed with the Secretary of State of the State of Georgia on May 31, 2011. A copy of the Amendment is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
