Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On June 7, 2011, Arrowhead Research Corporation (the “Company”) received a deficiency letter from the NASDAQ Stock Market indicating that, it has not regained compliance with the minimum bid price requirement of $1.00 as set forth in NASDAQ Marketplace Rule 5500(a)(2). However, because the Company has demonstrated that it meets all other applicable standards for initial listing on the NASDAQ Capital Market (except the bid price requirement), the Company has been granted an additional 180 day grace period, or until December 5, 2011, to regain compliance with the bid price requirement. In order to regain compliance, the minimum closing price per share of the Company’s common stock must be at least $1.00 for a minimum of ten consecutive business days. The company plans to seek approval to effect a reverse stock split, should it be necessary, to regain compliance with the Nasdaq bid price requirement. If the Company fails to regain compliance after the second grace period, the Company’s stock would be subject to delisting by NASDAQ.
