Item 1.01. Entry into a Material Definitive Agreement

On August 31, 2012, PECO Energy Company (PECO) entered into Amendment No. 6 (Amendment) to the Amended and Restated Trade Receivables Purchase and Sale Agreement among PECO, Victory Receivables Corporation and The Bank of Tokyo-Mitsubishi UFJ, Ltd pursuant to which the Agreement was extended until August 30, 2013. The Amendment also expands the definition of a tariff receivable to include receivables that have been purchased by PECO and paid for in accordance with the Tariff and revises the compliance criteria for the eligible asset test to allow for the payment of capital within a specified period of time.

The description of the Amendment set forth above is not complete and is qualified in its entirety by reference to the Amendment, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated by reference herein.
