Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 12, 2013, we issued a press release announcing that Thomas J. Manning and Judith A. Reinsdorf were appointed to our Board of Directors on June 12, 2013. Mr. Manning was appointed to serve on our Audit Committee and Innovation & Technology Committee and Ms. Reinsdorf was appointed to serve on our Audit Committee and Board Affairs Committee. Mr. Manning and Ms. Reinsdorf will receive (i) a prorated portion of the standard compensation amounts payable to non-employee directors in 2013 and (ii) the standard stock option award granted to new directors, each as described in our Proxy Statement. In addition, they will enter into our standard form of Indemnification Agreement.

A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated in this Item 5.02 by reference.
