Item 5.07 | Submission of Matters to a Vote of Security Holders |
Capella Education Company, a Minnesota corporation (Capella), held a special meeting of shareholders on January 19, 2018 (the Capella special meeting). As of December 11, 2017, Capellas record date for the special meeting, there were a total of 11,623,793 shares of common stock outstanding and entitled to vote at the special meeting. At the Capella special meeting, 9,451,753 shares of common stock were represented in person or by proxy and, therefore, a quorum was present. Capellas shareholders voted on three proposals and cast their votes as follows:
Proposal 1: To approve the Agreement and Plan of Merger, dated as of October 29, 2017 (the merger agreement), by and among Capella, Strayer Education, Inc. (Strayer) and Sarg Sub Inc. (Merger Sub), and the merger and other transactions contemplated by the merger agreement.
