Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On February 13, 2006, Marc B. Vaccaro submitted his resignation as a member of the Board of Directors (the "Board") of Great Wolf Resorts, Inc. (the "Company"). The Company appreciates Mr. Vaccaro's service as a member of its Board since the Company's inception. Following Mr. Vaccaro's departure, the Board will consist of seven members, five of whom qualify as independent directors. There are no immediate plans to replace Mr. Vaccaro on the Board.
