Item 8.01.  Other Events.

On April 7, 2011, Gyrodyne Company of America, Inc. (the “Company”) filed a brief with the Appellate Division of the Supreme Court, Second Department (the “Appellate Division”), in the case brought by the Company against the State of New York (the “State”) relating to the condemnation of 245.5 acres of the Company’s Flowerfield property.

The brief was filed in connection with the State’s appeal following judgment of the Court of Claims (the “Court") entered on August 17, 2010 in favor of the Company for an additional $98,685,000 plus statutory interest through the date of payment, as well as the Court’s judgment entered on February 9, 2011 in favor of the Company for an additional $1,474,940.67 for fees and expenses incurred by the Company in this case.  The State filed its brief with the Appellate Division on March 7, 2011, with respect to the foregoing judgments.
