Item 1.                  Security and Issuer
 
The class of equity securities to which this Schedule 13D relates is the Common Stock, par value $.001 per share (the “Common Stock”), of Accelerize New Media, Inc., a Delaware corporation (the “Company”), with its principal executive offices located at 2244 West Coast Highway, Suite 250, Newport Beach, California, 92663.
 
Item 2.                  Identity and Background
 
(a)           This statement is being filed by Jeff McCollum (the “Reporting Person”).
 
(b)           The Reporting Person’s business address is c/o Accelerize New Media, Inc., 2244 West Coast Highway, Suite 250, Newport Beach, California, 92663.
 
(c)            The Reporting Person is the President of the Cake Marketing Division of the Company. The Company’s business address is 2244 West Coast Highway, Suite 250, Newport Beach, California, 92663.
 
(d)           The Reporting Person has not, during the last five years, been convicted in a criminal proceeding.
 
(e)           The Reporting Person has not, during the last five years, been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result if such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.
 
(f)            The Reporting Person is a citizen of the United States of America.
 
Item 3.                  Source and Amount of Funds or Other Consideration
 
The Reporting Person acquired the shares of Common Stock by purchase through the use of his personal assets or was granted options to purchase shares of Common Stock by the Company.
 
On March 15, 2007, the Reporting Person was granted options to purchase an aggregate of 3,500,000 shares of Common Stock at an exercise price of $0.15 per share (the “Options”).  The Options vested on a quarterly basis over a period of 36 months commencing on January 1, 2008, as follows: (i) January 1, 2008 - 25%, (ii) April 1, 2008 - 33%, (iii) July 1, 2008 - 42%, (iv) October 1, 2008 - 50%, (v) January 1, 2009 - 58%, (vi) April 1, 2009 - 67%, (vii) July 1, 2009 - 75%, (viii) October 1, 2009 - 83%, (ix) January 1, 2010- 92%, and (x) April 1, 2010 - 100%.  The Options expire on March 31, 2020.  As of the date hereof, the Reporting Person has not exercised any of the Options.
 
On September 28, 2010, the Reporting Person purchased an aggregate of 1,890,000 shares of Common Stock in a private transaction from a former officer and director of the Company for a total purchase price of $50,000.00 (the “Purchased Shares”).
 
 
 

 
 
On May 24, 2012, the Reporting Person was granted options to purchase an aggregate of 3,100,000 shares of Common Stock at an exercise price of $0.15 per share (the “Recent Options”).  The Recent Options vest on an equal quarterly basis over a period of 36 months commencing on October 1, 2012, such that 258,333 shares of Common Stock will be issuable upon exercise of the Recent Options within 60 days of September 7, 2012.  The Recent Options expire on May 24, 2022.
 
Item 4.                  Purpose of Transaction
 
All of the shares beneficially owned by the Reporting Person and reported in this statement were acquired for investment purposes.  The Reporting Person has no plans or proposals to implicate the actions described in clauses (a) through (j) of Item 4.
 
On February 16, 2010, the Reporting Person reported beneficial ownership of the Options on Schedule 13G. This Schedule 13D is being filed to report the ownership of the Purchased Shares and the Recent Options.
 
Item 5.                  Interest in Securities of the Issuer
 
(a)           Pursuant to the most recent available filing with the Commission by the Company, 55,770,059 shares of Common Stock were outstanding as of August 7, 2012.  The Reporting Person may be deemed to beneficially own 5,648,333 shares of Common Stock, which includes 3,758,333 shares of Common Stock that are issuable upon exercise of outstanding options within 60 days of September 7, 2012.
 
(b)           The Reporting Person has sole voting and dispositive power of 5,648,333 shares of Common Stock, which includes 3,758,333 shares of Common Stock that are issuable upon exercise of outstanding options within 60 days of September 7, 2012.
 
(c)           No transaction in the class of securities reported have been effected during the past 60 days.
 
(d)           No other person is known to have the right to receive, or the power to direct the receipt of dividends from, or the proceeds from the sale of, the securities covered by this Schedule 13D.
 
(e)           Not applicable.
 
Item 6.                  Contracts, Arrangements, Understandings or Relationships with Respect to Securities of the Issuer
 
The Reporting Person’s Options and Recent Options are subject to the Company’s Stock Option Plan (the “Stock Option Plan”) and an option agreement issued thereunder.  The Reporting Person is eligible to receive future grants under the Company’s Stock Option Plan.
