Item 5.   Other Events.

Effective April 26, 2004, Computer Associates International, Inc. appointed Kenneth D. Cron as interim chief executive officer.  In addition, the Company appointed Jeff Clarke  chief operating officer. Mr. Clarke will also continue  as chief financial officer until a replacement is found. The Company also named Greg Corgan senior vice president for worldwide sales, replacing Stephen Richards, who resigned from the Company.  A copy of the press release issued by the Company in connection with the foregoing is attached hereto as Exhibit 99.1.
