On March 10, 2003 Florida Water Services Corporation,  a wholly owned subsidiary
of ALLETE,  announced that it has terminated its agreement to sell its water and
wastewater  facilities to the Florida  Water  Services  Authority.  As a result,
ALLETE's  first  quarter  2003  earnings  will  include an  estimated $7 million
after-tax write-off of costs incurred in connection with this agreement.
