ITEM 2.01.

COMPLETION OF ACQUISITION OR DISPOSITION OF ASSETS

On March 17, 2008, Chemung Canal Trust Company, subsidiary bank of Chemung Financial Corporation, completed its purchase of three M&T Bank branches located in Broome and Tioga Counties. The purchase consisted of approximately $65 million of deposits and $11 million in loans.

A press release dated March 17, 2008 announcing the completion of the purchase is included as Exhibit 99.1 to this report.
