(1)   Pursuant to the Agreement and Plan of Merger, dated as of July 7, 2002, among PayPal, Inc., eBay Inc. and Vaquita Acquisition Corp. (the “Merger Agreement”), eBay assumed all of the outstanding options to purchase Common Stock of PayPal, Inc. under the plans referred to above, and such options become exercisable to purchase shares of eBay Inc. Common Stock, with appropriate adjustments to the number of shares and exercise price of each assumed option in accordance with the Merger Agreement.
(2)   Estimated solely for the purpose of calculating the amount of the registration fee pursuant to Rule 457(h) under the Securities Act of 1933, as amended.
