(1) | In October 2007, the Issuer entered into a Long Term Promissory Note in the amount of $300,000 with the reporting person. The Note bears interest at 3% per annum and matures on October 30, 2009. In order to bring the interest rate on the Note in compliance with arm's length regulations, the Company issued the 188,285 warrants reported herein. |
