PURPOSE OF FILING
     The purpose of this filing is to report to you actions taken by our Compensation and Benefits Committee with respect to the 2006 annual base salary compensation of certain of our named executive officers, as defined in Item 402(a)(3) of Regulation S-K.

Item 1.01 Entry Into a Material Definitive Agreement.
     On January 30, 2006, the Compensation and Benefits Committee approved, with respect to the Company’s named executive officers, the following annual base salary increases:

     Base salary is just one element of the Company’s compensation program for executive officers. A description of the Company’s compensation program elements can be found in the Company’s Proxy Statement filed with the Securities and Exchange Commission on March 24, 2005 and in future Proxy Statement filings with the SEC.
