Item 8.01      Other Events.
As previously reported, on November 18, 2010, John Arditi, a former employee, voluntarily dismissed his lawsuit against us and two of our officers without prejudice. On November 23, 2010, Mr. Arditi submitted the matter to the American Arbitration Association for arbitration, re-asserting his prior claims. Mr. Arditi has now included in his arbitration demand a claim for defamation in connection with statements made or attributed to us in the course of press coverage of his (now dismissed) lawsuit, and has named our Chief Financial Officer, Matthew Pfeffer, as an additional respondent. We continue to believe Mr. Arditi’s claims are without merit and intend to defend against them vigorously.
