Item 8.01.		Other Events.

     On August 25, 2008, Anadarko Petroleum Corporation (the “Company”) announced that its Board of Directors authorized the repurchase of up to $5 billion of its outstanding common stock. The share repurchase program expires in August 2011 and replaces the Company’s previous share repurchase program. Share repurchases will be funded with free cash flow generated by the Company’s operations.

     The Company’s press release dated August 25, 2008, announcing the new share repurchase program, is attached as Exhibit 99.1 to this Current Report on Form 8-K.
