The complaint alleges that the Company made false and misleading statements and/or failed to disclose: that Concordia was facing increased market competition against its drug Donnatal and other products; that the Company’s financial results would suffer and thus it would be forced to suspend its dividend; and that as a result of the above, Concordia’s statements about its business, operations and prospects were false and misleading and/or lacked a reasonable basis.

On August 12, 2016, Concordia announced that it would lower its 2016 guidance due to unexpected competition and current foreign exchange rates. The Company also announced that CFO Adrian de Saldanha was leaving, and that the Board unanimously agreed to suspend the Company’s quarterly dividend. When this news was released, shares of Concordia fell in value, causing investors harm.
