Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On February 7, 2008, the Board of Directors of Sunoco, Inc. (the Board) approved the amendment of the Companys Bylaws, which is effective as of February 7, 2008. Article I, Section 1 of the Bylaws was amended to provide a majority voting standard for director elections together with a director resignation policy, which had previously been included in the Companys Corporate Governance Guidelines. The Bylaws, as amended, provide that, in an uncontested election, any incumbent nominee for director who does not receive at least a majority of the votes cast must submit his or her resignation to the Board. Any nominee who is not an incumbent and who does not receive at least a majority of the votes cast is deemed to have been elected and to have immediately resigned. The Governance Committee will evaluate the tendered resignation and make a recommendation to the Board. The Board will then make a decision within 90 days after the certification of the election results.
