On March 24, 2009, The First American Corporation (the Company) announced that John Peace has been appointed to its Board of Directors. Mr. Peace is the Chairman of Experian plc (Experian), which indirectly owns 20% of the membership interests of the Companys subsidiary, First American Real Estate Solutions LLC. In addition to this relationship as joint venture partners, certain affiliates of the Company and Experian compete on a limited basis with each other, primarily in the credit reporting business. The Companys credit information segment also purchases products and services, primarily credit reports, from Experians affiliates. A copy of the press release announcing the appointment is attached hereto as Exhibit 99.1.
In addition, on March 24, 2009, the Companys Compensation Committee changed the 2009 target bonus amount for Max O. Valdes, chief accounting officer, from $425,000 to $500,000.
